Recypt Terms of Service

Effective date: July 17, 2026.

1. Description of Service

Recypt is a service provided by Nishna Newborn Health, LLC ("Recypt," "the Service," "we," "us"). We provide receipt and expense-document organization services. You (or an admin/bookkeeper you've authorized) upload or mail physical receipts and related documents. We use automated technology, including AI/machine-learning tools, to extract information such as vendor, amount, date, and category, which is then reviewed and corrected by a human member of our team. The organized data and exports (for example, CSV files) are made available to you for your own use or to provide to your accountant, bookkeeper, or tax preparer.

Recypt is a receipt-organization and data-entry service. Recypt is not a certified public accounting firm, tax preparer, or law firm, and does not provide accounting, tax, legal, or financial advisory services. Nothing provided through the Service constitutes professional accounting, tax, or legal advice, and no accountant-client, attorney-client, or similar professional relationship is created by using the Service.

You must promptly review all organized data, categorizations, and exported documents for accuracy before relying on them for any purpose, including tax filing, financial reporting, or submission to a third party. Do not treat any deadline-sensitive filing or decision as final based on unreviewed exports from the Service.

5. Disclaimer of Professional Advice; Limitation of Liability

The Service uses AI-assisted extraction reviewed by a human, but the output may still contain errors. We make no warranty that any categorization, extraction, or export is complete or error-free. You are solely responsible for verifying outputs before use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECYPT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO RECYPT IN THE THREE (3) MONTHS PRECEDING THE CLAIM. Recypt disclaims all liability for indirect, incidental, consequential, or special damages, including tax penalties, interest, audit costs, or other losses arising from your reliance on unreviewed, uncorrected, or inaccurate data provided through the Service.

6. Data Ownership

You retain ownership of all documents and data you submit through the Service. You grant Recypt a limited license to use that data solely to provide and improve the Service. Upon termination of your account, you may request export or deletion of your data, subject to standard backup and legal record-keeping retention periods described in our Privacy Policy.

7. Third-Party Services

The Service relies on third-party providers, including payment processing (Stripe), cloud hosting, database, and storage (Firebase/Google Cloud), AI-based document processing (OpenAI), optional shipping and label generation for the Concierge Shoebox add-on (EasyPost), and transactional email delivery. Each of these providers is governed by its own terms and privacy practices. Recypt is not responsible for outages, errors, or acts or omissions of these third-party providers.

8. Termination

Either party may terminate the relationship at any time as described in Section 3. We may also suspend or terminate your access for non-payment or violation of these Terms. Sections concerning liability, data ownership, and professional-advice disclaimers survive termination.

9. Changes to These Terms

We may update these Terms from time to time. We will make reasonable efforts to notify active clients of material changes before they take effect.

10. Governing Law & Contact
